License Agreement.
The EULA governs your right to install and run the self-hosted Ticaga software. Buying a license under our Terms & Conditions means you also accept this agreement.
What the license lets you do.
- Install and run Ticaga on infrastructure you control for your own organisation.
- One license covers one production deployment unless your order says otherwise.
- You may modify Ticaga for internal use, but you may not resell, sublicense, or redistribute it.
- Ticaga may include open-source and commercial third-party components, each subject to its own terms.
- You are responsible for your own hosting, security, backups, email delivery, and integrations.
- We own Ticaga; you own the data processed inside your deployment.
The agreement
This End-User License Agreement (the "EULA") is a legal agreement between you (the "Licensee") and Ticaga Ltd (company № 14575291, England & Wales) for the Ticaga self-hosted help desk application, official extensions, plugins, documentation, license files, updates, patches, and related materials provided by Ticaga (the "Software").
By installing, copying, downloading, updating, or using the Software, you accept this EULA. If you do not accept it, do not install or use the Software. This EULA works alongside our Terms & Conditions; where they conflict in relation to the Software, this EULA prevails.
License grant
Subject to your payment of applicable fees and compliance with this EULA, Ticaga grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software on infrastructure you own or control for your internal business purposes during the license term stated in your order.
Deployment scope
Unless your order says otherwise, one license permits:
- one production deployment of the Software;
- unlimited agents on that deployment — no per-seat fees;
- reasonable additional staging or test instances that are not used in production.
Running multiple production deployments, providing Ticaga to separate legal entities, or operating Ticaga for third parties requires additional written permission or additional licenses.
Restrictions
Except as expressly permitted by this EULA or by applicable law, you must not:
- resell, rent, lease, lend, sublicense, distribute, publish, or commercially exploit the Software;
- provide Ticaga as a hosted, managed, bureau, outsourcing, white-labelled, or multi-tenant service for third parties without our prior written consent;
- share license keys or use one license for more deployments than permitted;
- remove, alter, or obscure any copyright, trademark, or other proprietary notices;
- misrepresent the Software as your own product;
- circumvent license validation, update checks, security features, or technical restrictions;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive or bypass license-validation, security, update, packaging, or distribution mechanisms, except to the extent expressly permitted by law;
- use the Software unlawfully or in a way that infringes third-party rights.
Permitted modifications
You may modify the Software for your own internal use, provided you do not redistribute modified versions, remove proprietary notices, bypass license controls, or use modifications to create a competing product or hosted service.
Modifications are your responsibility. We are not required to support modified installations unless we agree otherwise.
Ownership
The Software is licensed, not sold. Ticaga and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. This EULA grants you only the rights expressly set out in it; all other rights are reserved.
Extensions & plugins
Official Ticaga extensions are licensed under this EULA unless separate terms apply. Some extensions may require separate purchase, activation, renewal, or support entitlement.
Third-party extensions are not part of the Software unless we expressly state otherwise. You are responsible for assessing and maintaining third-party extensions.
Trial, beta & evaluation licenses
Trial, beta, preview, or evaluation licenses are provided for testing only, may be time-limited or feature-limited, and may be withdrawn at any time. They are provided "as is" and should not be used for production unless we agree otherwise in writing.
Third-party components
The Software includes third-party open-source components, each licensed under its own terms. Those terms apply to the relevant components only. Nothing in this EULA limits rights you have under applicable open-source licenses. Where required, copyright notices, license texts, and attribution notices may be provided in the Software package, documentation, or accompanying third-party notices file.
The Software may also include proprietary third-party components licensed to Ticaga, including the MarkdownX editor. Those components are provided only for use as part of Ticaga and may not be extracted, reused, redistributed, sublicensed, or used separately unless the relevant third-party owner expressly permits it.
Some proprietary or commercially licensed components may be encoded, obfuscated, compiled, or otherwise technically protected to preserve third-party intellectual property, licensing restrictions, and update integrity. You must not remove or bypass those protections except to the extent expressly permitted by applicable law.
License validation & telemetry
The Software may contact Ticaga systems to validate license status, activate extensions, check update eligibility, prevent misuse, and provide update notifications. License validation may include license key, domain or installation identifier, product version, enabled extensions, server IP address, and timestamps.
We do not collect ticket contents or end-user records through license validation.
Updates & support
Updates and support are available only where included in your active license or order. Updates may change features, dependencies, or system requirements. You are responsible for testing updates before applying them to production and for maintaining backups.
Self-hosted operation
This includes server security, patches, database administration, queue workers, file storage, email delivery, DNS, SSL/TLS, access controls, API keys, secrets, and third-party integrations.
Customer data
If you provide Customer Data to Ticaga for support, you are responsible for ensuring that you may lawfully do so. How we handle account, license, and support data is described in our Privacy Policy.
Third-party & AI integrations
The Software may allow you to connect third-party services, including OpenAI, Anthropic Claude, Slack, Blesta, WHMCS, ClientExec, email providers, and hosting providers.
You are responsible for those services, their terms, availability, security, costs, legal basis, and data handling.
Warranty disclaimer
To the fullest extent permitted by law, the Software is provided "as is" and "as available". We do not warrant that the Software will be uninterrupted, error-free, free from vulnerabilities, compatible with every environment, or suitable for your specific legal, operational, or regulated requirements.
Nothing in this EULA excludes or limits any liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud.
Limitation of liability
Subject to the section above, and to the fullest extent permitted by law:
- Ticaga is not liable for loss of profits, revenue, business, goodwill, anticipated savings, data, or for indirect or consequential loss; and
- Ticaga's total aggregate liability arising under or in connection with this EULA, the Software, support, updates, or any related order is limited to the fees paid or payable by you to Ticaga in the 12 months before the event giving rise to the claim.
Suspension & termination
We may suspend downloads, updates, support, license validation, or extension access if payment is overdue, a license key is shared or misused, technical restrictions are bypassed, or we reasonably suspect material breach.
This EULA terminates automatically if you materially breach it and fail to remedy the breach within 30 days of notice, or immediately if the breach cannot reasonably be remedied.
On termination, you must stop using and remove all copies of the Software, except for any open-source components whose own licenses permit continued use. Sections that by their nature should survive — ownership, disclaimers, and limitation of liability — continue to apply.
Governing law
You must comply with applicable export control, sanctions, and trade laws and must not use or supply the Software in breach of those laws.
This EULA, and any dispute arising out of or in connection with it, is governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction. We may update this EULA for future releases; the version that applies to your deployment is the one in effect when you obtained or last updated the Software.
